Service Agreement

Welcome to traq.to. These Terms of Service (“Terms”) govern your access to and use of the traq.to platform, including all related websites, applications, and services (collectively, the “Service”) operated by privacy/design GmbH (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” or “your” shall include that organization.

Service Description

traq.to is a productivity and planning platform that helps teams prioritize high-impact work, plan their week around it, and execute with focus. The Service includes task management based on the Eisenhower Matrix, weekly planning rituals, OKR tracking, team collaboration features, and AI-assisted refinement tools.

Your Account

Registration:
You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Organizational Accounts:
When you create or join an organization on traq.to, the organization owner and administrators may manage members, spaces, and settings. Organization owners are responsible for ensuring that their team members comply with these Terms.

Age Requirement:
You must be at least 16 years old to use this Service.

Account Security:
You must notify us immediately at hello@traq.to if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account credentials.

Subscription Plans and Pricing

Plans:
traq.to offers multiple subscription tiers:

• Free Plan — For individuals and small teams getting started (up to 2 users, 1 shared space, 50 AI actions per month)
• Team Plan — For growing teams that need more capacity (up to 5 users, unlimited shared spaces, 1,000 AI actions per month)
• Enterprise Plan — For organizations with advanced needs (custom user limits, spaces, and AI actions, negotiated individually)

We reserve the right to modify pricing and plan features at any time. Existing subscribers will be notified of material changes at least 30 days in advance.

Billing:
Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. Subscriptions renew automatically at the end of each billing period unless cancelled.

Cancellation:
You may cancel your subscription at any time through your account settings or by contacting us at hello@traq.to. Cancellations take effect at the end of your current billing period. No refunds are provided for partial billing periods, except where required by applicable law.

Free Plan:
The Free Plan is available at no cost. We reserve the right to modify the features and limits of the Free Plan at any time.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, networks, or other users’ accounts
• Upload malicious code, viruses, or harmful software
• Harass, abuse, or harm other users
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to send spam or unsolicited communications
• Scrape, crawl, or collect data from the Service using automated means without our prior written permission
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Circumvent, disable, or interfere with security-related features of the Service
• Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users’ access

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

Intellectual Property

Our Rights:
All content, features, functionality, software, and design of traq.to are owned by privacy/design GmbH and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our proprietary materials without our prior written consent.

Your Content:
You retain all rights to the data and content you upload to the Service (“Your Content”). By using traq.to, you grant us a limited, non-exclusive license to store, process, display, and transmit Your Content solely as necessary to provide the Service to you. We do not claim ownership of Your Content.

Feedback:
If you provide feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, royalty-free license to use such feedback for any purpose without any obligation or compensation to you.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

We will make reasonable efforts to notify you of planned maintenance in advance. We are not liable for any loss or damage resulting from Service downtime or interruptions.

AI Features

The Service includes AI-powered features such as task refinement and objective formatting. AI-generated content is provided as a suggestion and may not always be accurate. You are responsible for reviewing and approving any AI-generated output before relying on it.

AI features are subject to usage limits based on your subscription plan.

Data and Privacy

Your privacy is important to us. Our collection, use, and processing of personal data is described in our Privacy Policy.

We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Your Content is stored on servers within the European Union.

Data Processing:
When you use traq.to on behalf of an organization, the organization is the data controller and we act as the data processor for any personal data processed through the Service. We process such data solely in accordance with the organization’s instructions and our Privacy Policy.

Data Portability:
You may request an export of Your Content at any time by contacting us at hello@traq.to.

Disclaimers and Limitations of Liability

No Warranties:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVACY/DESIGN GMBH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED EUROS (EUR 100).

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT.

Indemnification

You agree to indemnify and hold harmless privacy/design GmbH, its officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Termination

By You:
You may terminate your account at any time through your account settings or by contacting us at hello@traq.to.

By Us:
We may suspend or terminate your access to the Service immediately if you materially breach these Terms, if we are required to do so by law, or if we decide to discontinue the Service (with reasonable prior notice in the latter case).

Effect of Termination:
Upon termination, your right to access and use the Service ceases immediately. We will retain Your Content for a period of 30 days following termination, during which you may request a data export. After this period, we may permanently delete Your Content, except where retention is required by law.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Service and terminate your account.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Germany. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and privacy/design GmbH regarding your use of the Service, and supersede all prior agreements and understandings.
